Friends of the Library
By-Laws

Amended 2000

ARTICLE 1. NAME

The name of this organization shall be Friends of the Hickory Public Library.

ARTICLE 2. PURPOSES

The purposes of this organization shall be:

  1. To maintain an association of persons interested in libraries;
  2. To focus public attention on the library;
  3. To stimulate the use of the library's resources and services;
  4. To provide funding for materials, equipment and facilities which are beyond the resources of the library's budget;
  5. To channel suggestions and comments to the Library Director, through the President.

ARTICLE 3. MEMBERSHIP

Section 1. All individuals and organizations interested in the purposes of this organization shall be eligible for membership upon payment of dues.

Section 2. Each membership shall be entitled to one vote.

ARTICLE 4. DIRECTORS AND OFFICERS

Section 1. Twelve directors, four of whom shall be elected to serve as officers, shall constitute the elected governing body of this organization. The officers shall be president, vice-president, secretary and treasurer.

Section 2. Directors shall be nominated by a committee selected by the president not less than one month previous to the annual meeting. The nominating committee shall consist of five members. The nominations shall be submitted in writing and posted in the library not less than two weeks prior to the annual meeting. Additional nominations may be made from the floor, with the consent of the nominee.

Section 3. The directors shall be elected by ballot at the annual meeting.

Section 4. Directors shall assume their official duties at the close of the annual meeting and shall serve for a term of one year.

Section 5. The Board of Directors shall fill vacancies in elective offices for the unexpired term.

Section 6. Unexplained absences of any member of the Board of Directors from two consecutive quarterly meetings shall be construed as a resignation by said member

ARTICLE 5. DUTIES OF BOARD OF DIRECTORS

Section 1. President: To preside over and conduct meetings and to appoint all committees.

Section 2. Vice-President: To perform the duties of the president in the absence of the president, and to act as an aide to the president; to be responsible for publicizing the activities and programs of the organization, including the publication of a newsletter or calendar of events.

Section 3. Secretary: To record attendance and take the minutes at all meetings; to keep a list of names and addresses of all members, and to notify the members of the time and place of all meetings; to conduct the correspondence of the organization.

Section 4. Treasurer: To collect and disburse dues and other revenues, and to handle all official finances of the organization.

Section 5. Directors: To accept duties as designated by the Board.

Section 6. Membership dues shall be established and reviewed annually by the Board of Directors.

ARTICLE 6. MEETINGS

Section 1. The Friends of the Hickory Public Library will meet annually in September, on a date to be determined by the Board of Directors. Notice of all meetings shall be sent at least two weeks prior to the meetings to the last known address of each member.

Section 2. The Board of Directors shall meet quarterly, beginning in January, at a time and date to be determined by the president. The library director shall attend all board meetings, but shall not be a member of the board. The president shall have the
authority to call additional meetings, provided that notice be provided to each board
member prior to the meeting.

Section 3. The president shall, at the written request of ten members, or by a vote of the Board of Directors, call a meeting of the membership within thirty days.

ARTICLE 7. QUORUM

Section 1. The members present at any meeting of the membership shall constitute a quorum.

Section 2. Five members of the Board of Directors present for their meeting shall constitute a quorum.

ARTICLE 8. DISTRIBUTION OF ASSETS UPON DISSOLUTION

Upon dissolution of the organization, the entire net assets remaining after the payment or satisfaction of any and all liabilities and obligations of the organization shall be distributed to the Hickory Public Library, for purchase of library materials and/or equipment.

ARTICLE 9. AMENDMENTS

These by-laws may be amended at any annual meeting by a two thirds vote of the members present and voting, provided a written proposed amendment has been submitted to the Board of Directors at least thirty days prior to the annual meeting.

ARTICLE 10. PARLIAMENTARY PROCEDURE

The latest edition of Roberts Rules of Order when not in conflict with these by-laws shall govern the proceedings of this organization.
